Tom Lang provides tax technical guidance for partnership entities and their partners as a member of Andersen’s U.S. National Tax practice. Tom’s primary role is reviewing transactions and operating agreements, applying statutory authority, and replicating in dynamic models the provisions of the legal documents. Tom also advises clients before executing transactions or finalizing operating agreements on the best approaches and practices to best align with their priorities. Common modeling requests involve partners acquiring or selling units, entity formation or dissolution, annual income allocations with complex distribution-based mechanics, partner debt allocations, contributions and distributions of property, and capital account maintenance.
Before joining Andersen, Tom was with Deloitte, specializing in modeling, allocations, and regulatory disclosures for publicly listed partnerships under an Up-C structure. Prior to that, Tom was a part of EY’s National Tax Department, focused on partnerships.
